Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not:

• modify, copy, prepare derivative works of, decompile, or reverse engineer any software or materials forming part of the Services, except as permitted by law;
• remove copyright or other proprietary notices;
• use the Services in a way that disrupts, damages, or interferes with the Services or related infrastructure;
• transmit unlawful, fraudulent, harassing, obscene, or otherwise objectionable material through the Services;
• use the Services to send unauthorized advertising or spam;
• harvest or collect user information without consent; or
• infringe the intellectual property or privacy rights of others.

Accounts and Access

Certain features of the platform require a user account.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• ensuring that account information is accurate and up to date; and
• all activity occurring under your account.

You must notify 10in6 Inc. immediately of any unauthorized use of your account or security breach.

10in6 Inc. may suspend or terminate accounts that violate these Terms.

Organizational Use

If you access or use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Customer organizations are responsible for:

• ensuring appropriate consent is obtained from users and SMS recipients where required by law;
• maintaining accurate user and contact information;
• configuring platform settings appropriately; and
• complying with all applicable employment, telecommunications, and data protection laws.

SMS Communications

The 10in6 Alerting program sends transactional, event-driven SMS notifications related to monitored equipment events, alarms, downtime alerts, and production exceptions.

This program does not send marketing or promotional messages.

Enrollment

To enroll, a user must text a designated opt-in keyword (such as START) to a 10in6-provided phone number displayed within the platform. Enrollment is completed only after a confirmation message is received.

Message Frequency

Message frequency varies depending on monitored equipment activity and system events.

Message and Data Rates

Message and data rates may apply according to your wireless carrier plan.

Opt-Out Instructions

You may opt out of the 10in6 Alerts program at any time by replying STOP to any message you receive. After you send STOP, you will receive a confirmation message and no further SMS messages will be sent unless you re-enroll.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Intellectual Property

All intellectual property rights in the website, software, documentation, and related materials are owned by or licensed to 10in6 Inc. and are protected by applicable laws.

Subject to these Terms, 10in6 Inc. grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. No ownership rights are transferred to you.

Data Ownership

Except for the limited rights necessary to provide the Services, 10in6 Inc. does not claim ownership of operational or customer-provided data entered into the platform.

You grant 10in6 Inc. a limited license to access, process, transmit, and use such data solely for the purpose of providing, maintaining, supporting, and improving the Services.

Service Availability

The Services are provided on an "as is" and "as available" basis. 10in6 Inc. does not guarantee that the Services will be uninterrupted, error-free, or free from harmful components. We may modify, suspend, or discontinue any part of the Services at any time without liability.

Limitation of Liability

To the maximum extent permitted by law:

• 10in6 Inc. disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• 10in6 Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• 10in6 Inc. shall not be liable for any loss arising from service interruptions, system failures, data loss, inaccuracies, delays, or telecommunications issues.

In any event, 10in6 Inc.'s total liability arising out of or relating to the Services shall not exceed the amount paid by you for the Services in the preceding twelve (12) months.

Some jurisdictions do not allow certain limitations of liability. In such cases, liability will be limited to the fullest extent permitted by law.

Accuracy of Materials

Information provided on the website is for general informational purposes only. While we strive for accuracy, we make no guarantees regarding completeness, reliability, or accuracy of website content.

Links to Third-Party Sites

The Services may contain links to third-party websites or services. 10in6 Inc. does not control and is not responsible for the content or practices of third-party sites. Access to such sites is at your own risk.

Termination

10in6 Inc. may suspend or terminate your access to the Services immediately if you breach these Terms. Upon termination, your right to use the Services ceases immediately.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You submit to the exclusive jurisdiction of the courts of Ontario.
